1. Acceptance of Terms

By accessing, registering for, or using mybalancingIQ (the "Service"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all Terms, you must not access or use the Service. These Terms form a legally binding agreement between you and mybalancingIQ.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Service Description

mybalancingIQ provides AI-powered financial analytics, business intelligence tools, dashboards, insights, and decision-support features (collectively, the "Service"). The Service is designed to help business owners and their advisors understand financial data and trends.

THE SERVICE DOES NOT CONSTITUTE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL FINANCIAL, ACCOUNTING, LEGAL, TAX, INVESTMENT, OR BUSINESS ADVICE. OUTPUTS ARE FOR INFORMATIONAL AND DECISION-SUPPORT PURPOSES ONLY. NO FIDUCIARY, ADVISORY, OR PROFESSIONAL RELATIONSHIP IS CREATED BY YOUR USE OF THE SERVICE.

You acknowledge that:

  • The Service is a technology tool, not a licensed financial advisor, accountant, or business consultant
  • No output of the Service should be relied upon as the sole or primary basis for any financial decision
  • You are responsible for verifying all outputs and consulting qualified professionals before acting on any insight or recommendation
  • mybalancingIQ does not hold any financial services licence, accounting licence, or investment adviser registration in any jurisdiction

3. AI Outputs — Accuracy Disclaimer

AI Accuracy Warning

mybalancingIQ uses artificial intelligence and machine learning to generate insights, scores, recommendations, forecasts, competitor analyses, and reports. AI systems can and do produce outputs that are inaccurate, incomplete, outdated, misleading, or factually incorrect. This is an inherent characteristic of current AI technology and not a defect unique to our platform.

Specifically, you acknowledge and accept that:

  • AI-generated content may contain errors, hallucinations, or incorrect conclusions
  • The Business Health Score and sub-scores are algorithmic estimates, not certified financial assessments
  • Competitor analysis is based on publicly available data and AI inference — it may be inaccurate, incomplete, or out of date
  • Cash flow forecasts and scenario projections are estimates with inherent uncertainty — actual results will differ
  • The Business Evaluation report is an automated assessment — it does not constitute a professional business valuation, audit, or due diligence report
  • Invara AI responses are generated by a large language model and may contain factual errors, misinterpretations of your financial data, or inappropriate recommendations
  • Pre-Level Bid estimates and construction cost projections are indicative only and should not be relied upon for procurement, financing, or investment decisions
  • No output of the Service has been reviewed or approved by a licensed accountant, financial adviser, or other professional

Required User Action

Before making any business decision, financial commitment, investment, or taking any action based on Service outputs, you must:

  • Independently verify the accuracy of any information provided
  • Consult a qualified, licensed professional appropriate to the decision (accountant, financial adviser, lawyer, business consultant)
  • Apply your own judgment and knowledge of your specific business circumstances

Think of mybalancingIQ as a very smart research assistant that can make mistakes. It helps you ask better questions and see patterns — but you and your professional advisors make the decisions.

4. Invara AI Advisor — Specific Terms

Invara is an AI-powered conversational assistant integrated within the Service. The following specific terms apply to your use of Invara:

  • Invara is not a financial adviser, accountant, tax adviser, legal adviser, or business consultant
  • Invara responses are generated dynamically and are not reviewed by human professionals before delivery
  • Invara may misinterpret your question, your financial data, or provide responses based on incorrect assumptions
  • Invara responses are conversational and informational in nature — they do not constitute advice of any kind
  • Do not share sensitive personal information (passwords, full bank account numbers, tax identification numbers) with Invara
  • Invara responses should never be shared with third parties (banks, investors, regulators) as representing professional analysis
  • mybalancingIQ is not liable for any loss or damage resulting from reliance on Invara outputs

5. User Responsibilities

5.1 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must immediately notify us of any suspected unauthorised access. We recommend strong, unique passwords and enabling multi-factor authentication.

5.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you upload, connect, or input into the Service. Inaccurate source data will produce inaccurate outputs. mybalancingIQ has no ability to verify the accuracy of data you provide.

5.3 Compliance

You are responsible for ensuring your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction.

5.4 Professional Relationships

If you share Service outputs with clients, investors, lenders, or other third parties, you are solely responsible for ensuring those outputs are appropriate for that purpose and for any representations you make based on them.

6. Acceptable Use

You agree not to:

  • Use the Service to make or facilitate fraudulent misrepresentations to lenders, investors, or regulators
  • Present AI-generated outputs as professional financial assessments, valuations, audits, or advice
  • Misuse the Service to access other users' data or circumvent access controls
  • Reverse engineer, decompile, or copy any part of the Service
  • Use the Service for unlawful purposes or in violation of any applicable law
  • Resell, sublicense, or provide access to the Service to third parties without our written consent

7. Intellectual Property

All content, software, algorithms, trademarks, and materials provided through the Service are owned by or licensed to mybalancingIQ and are protected by applicable intellectual property laws. You may not copy, modify, create derivative works, or redistribute any part of the Service without our prior written consent.

You retain ownership of your data. You grant us a limited licence to process your data solely to provide and improve the Service, as described in our Privacy Policy.

8. Limitation of Liability

Please read this section carefully. It significantly limits our liability to you.

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: (A) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (B) WARRANTIES THAT THE SERVICE WILL BE ERROR-FREE, ACCURATE, OR UNINTERRUPTED; (C) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT; AND (D) WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

8.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MYBALANCINGIQ, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; (B) LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL; (C) BUSINESS INTERRUPTION; (D) FINANCIAL LOSSES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS; (E) DECISIONS MADE BASED ON SERVICE OUTPUTS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO MYBALANCINGIQ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

8.4 Essential Basis

THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL PART OF THE BASIS OF THE BARGAIN BETWEEN US. WE WOULD NOT BE ABLE TO PROVIDE THE SERVICE ON THE TERMS OFFERED WITHOUT THESE LIMITATIONS.

8.5 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or, where required by law, death or personal injury caused by negligence.

9. Indemnification

You agree to indemnify, defend, and hold harmless mybalancingIQ and its directors, officers, employees, and licensors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service in a manner not authorised by these Terms
  • Your reliance on Service outputs without appropriate professional verification
  • Your presentation of Service outputs to third parties as professional advice or certified analysis
  • Your breach of any applicable law or regulation
  • Any inaccurate data you provide to the Service

10. Third-Party Integrations

The Service integrates with third-party platforms including QuickBooks, Xero, and others. We are not responsible for the accuracy, availability, or terms of those platforms. Your use of third-party integrations is also governed by the third party's own terms of service.

11. Dispute Resolution & Governing Law

11.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which mybalancingIQ is incorporated, without regard to conflict of law principles.

11.2 Informal Resolution

Before initiating any legal action, you agree to attempt to resolve any dispute informally by contacting us at dev@mybalancing.com. We will attempt to resolve disputes within 30 days.

11.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, all rights granted to you under these Terms cease. We will delete your active data within 30 days of termination and backup copies within 90 days, unless retention is required by law.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification with at least 14 days notice before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
